Terms & Conditions

These Terms & Conditions (“Agreement”) govern your use of WAPProvider’s WhatsApp API services. They cover definitions, the license grant, customer obligations, subscription and payment terms, intellectual property rights, confidentiality and data protection, service levels, liability limits, termination, change management, and dispute resolution. By accessing or using our Services, you agree to be bound by this Agreement.

 

1. Definitions

  • “Agreement” means these Terms & Conditions.
  • “Company” means Setu Global Innovations Pvt Ltd (marketing as Tech Bridge Solutions), a company incorporated under the Companies Act, 2013, with its registered office at IStart Nest, Near Polytechnic College, Jodhpur, Rajasthan 342001.
  • “Customer,” “you,” or “your” means the entity subscribing to or using the Services.
  • “Services” refers to WAPProvider’s WhatsApp Business API, documentation, support, and related components.
  • “Subscription Plan” means the pricing tier you select, with specified message quotas, features, and billing cycle.

2. License Grant

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business communications. 

3. Customer Obligations & Acceptable Use

  1. Lawful Use: You warrant that you operate a legitimate business and will use the Services only for lawful, non-spam, commercial messaging.
  2. Policy Compliance: You agree to comply with WhatsApp’s Business Terms of Service, Messaging Policy, and any additional policies incorporated herein by reference.
  3. Consent & Opt-Out: You are responsible for obtaining and maintaining valid opt-in consents from end users, and for providing clear opt-out mechanisms in every message. 

4. Subscriptions, Fees & Billing

  • Term & Renewal: Subscriptions commence on the date of purchase and automatically renew each billing cycle (monthly or annual) unless cancelled at least 10 days before renewal. WhatsApp Business
  • Fees: You agree to pay all fees for your chosen Subscription Plan, plus applicable taxes. Late or failed payments may result in service suspension or termination. WhatsApp Business
  • Refunds & Credits: All fees are non-refundable unless otherwise specified in a written agreement.

5. Intellectual Property

All intellectual property rights in the Services, software, documentation, and branding (“IP”) remain with Setu Global Innovations Pvt Ltd or its licensors. You acquire no rights other than the license expressly granted in Section 

6. Confidentiality & Data Protection

  1. Confidential Information: Each party agrees to keep the other’s confidential information (business plans, technical data, customer lists) strictly confidential.
  2. Data Processing: The Company processes personal data on your instruction and in compliance with applicable laws (Indian IT Act, GDPR if relevant). Security measures are implemented to protect your data. 

7. Service Level & Support

  • Uptime Commitment: We target 99.9% monthly uptime, measured as defined in our Service Level Agreement. 
  • Support: Standard email support is available Monday–Friday, 10 AM–6 PM IST. Premium support with SLA guarantees is offered on higher-tier plans.

8. Limitation of Liability

To the maximum extent permitted by law, the Company’s aggregate liability for direct damages under this Agreement is capped at the total fees you paid in the 12 months preceding the claim. In no event shall the Company be liable for indirect, incidental, special, or consequential damages. 

9. Indemnification

You agree to indemnify, defend, and hold harmless Setu Global Innovations Pvt Ltd, its officers, directors, and affiliates from any third-party claims arising out of your misuse of the Services or violation of this Agreement.

10. Termination

  • For Cause: Either party may terminate if the other materially breaches this Agreement and fails to cure within 30 days of written notice.
  • Effect: Upon termination, your license ends immediately, and you must cease all use of the Services and delete any copies of documentation.

11. Changes to Terms

We may revise these Terms from time to time. Material changes will be communicated at least 30 days before their effective date via email or notice on our website. Continued use after that date constitutes acceptance of the revised Terms. 

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Rajasthan, India. Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the courts of Jodhpur, Rajasthan.
